Introduction

Welcome to EwiiTech! These Conditions of Service outline the terms and conditions under which EwiiTech, a company registered in Montreal, Quebec, Canada, provides services to our clients. By engaging our services, you agree to comply with these terms.

1. Services Provided

EwiiTech offers the following services:

2. Acceptance of Terms

By using EwiiTech’s services, you agree to be bound by these Conditions of Service. If you do not agree with any part of these terms, you should not use our services.

3. Client Responsibilities

The client agrees to:

  1. Provide all necessary information, materials, and access required for EwiiTech to perform the agreed services.
  2. Cooperate with EwiiTech in a timely and efficient manner.
  3. Review deliverables and provide feedback within agreed timeframes.
  4. Make timely payments as outlined in the service agreement or invoice.

4. Service Fees

  1. The fees for services will be agreed upon in writing before the commencement of any work.
  2. Invoices will be issued upon completion of milestones or as otherwise agreed upon.
  3. Payment is due within 30 days of the invoice date unless otherwise stated.
  4. EwiiTech reserves the right to suspend services if payment is not received within the agreed timeframe.

5. Intellectual Property

  1. Any intellectual property created by EwiiTech during the provision of services remains the property of EwiiTech until full payment has been received.
  2. Upon full payment, ownership of any deliverables will be transferred to the client, except for any third-party software, tools, or components used, which remain the property of their respective owners.

6. Confidentiality

Both EwiiTech and the client agree to keep all Confidential Information, as defined in the Confidentiality Agreement, strictly confidential and not to disclose it to any third parties without the express written consent of the other party.

7. Warranties

EwiiTech warrants that:

  1. Services will be performed in a professional and workmanlike manner.
  2. Deliverables will substantially conform to the specifications agreed upon in writing.

However, EwiiTech does not warrant that any deliverables will be free from errors or interruptions, and the client acknowledges that there are risks inherent in internet connectivity, software development, and IT services.

8. Limitation of Liability

EwiiTech’s liability to the client for any claim related to the services provided, whether in contract, tort, or otherwise, shall be limited to the amount paid by the client for the specific services giving rise to the claim. EwiiTech shall not be liable for any indirect, incidental, consequential, or special damages.

9. Termination

  1. Either party may terminate the service agreement with 30 days’ written notice.
  2. In the event of termination, the client will be responsible for payment for all work completed up to the date of termination.
  3. EwiiTech reserves the right to terminate the service agreement immediately if the client breaches any of the terms of these Conditions of Service.

10. Governing Law

These Conditions of Service shall be governed by and construed in accordance with the laws of the Province of Quebec, Canada.

11. Amendments

EwiiTech reserves the right to amend these Conditions of Service at any time. Clients will be notified of any significant changes.
